RUGBY SVNS SINGAPORE TICKET PROMO

TERMS & CONDITIONS

1. GENERAL

1.1 The Rugby SVNS Singapore Ticket Promo (the “Promo”) is held in conjunction with the “HSBC SVNS SGP” event which is taking place in Singapore from 3 May 2024 to 5 May 2024 (both dates inclusive) (the “Event”).

1.2 The Promo is organised and promoted by World Rugby Tournaments Ltd a company incorporated in Ireland with registered address at 8-10 Pembroke Street Lower, Dublin, Ireland and which is the owner of the Event (“World Rugby”, “WRT”, “We”, “Us”, “Our”)

1.3 When participating in or availing of the Promo (“you” or the “Participant”), you shall be subject to these Promo Terms and Conditions (“T&Cs”), and by availing of or participating in the Promo, the Participant accepts and agrees to be bound by and to comply with these T&Cs, including any amendments, additions, replacements, variations and modifications to these T&Cs. Your participation in and availing of the Promo is strictly conditional upon you accepting these T&Cs.

1.4 In the event of any inconsistency between the T&Cs and the terms of any brochure, marketing or promotional material (including any social media posts by WRT or by third parties (whether or not connected to WRT)) relating to the Promo, these T&Cs shall prevail.

1.5 These T&Cs apply to you so far as the law permits in relation to your participation in and availing of the Promo so please read them carefully.

1.6 Please note that the HSBC SVNS SERIES SINGAPORE 2024 EVENT TICKET TERMS AND CONDITIONS shall apply to your purchase and use of all tickets for, and attendance at, the Event (Event Tickets) so please also ensure to carefully read those Terms and Conditions - EVENT TICKETING TERMS & CONDITIONS | HSBC SVNS

2. ELIGIBILITY AND DETAILS OF THE PROMO

2.1 Participants must be over 18 years of age at the time of purchasing an Event Ticket (see below) to be eligible to avail of the Promo, including use of the customised promotion codes (see below).

2.2 WRT reserves the right to verify the eligibility of Participants and may require such additional information as it considers reasonably necessary for this purpose.

2.3 To avail of the Promo, the Participant must:

2.3.1 purchase a “General” or “Reserved” category ticket that grants the admission of the Participant (and their group if purchasing multiple tickets) into the Event (each an “Event Ticket”) (each purchase, a “Transaction”) through the online platform for purchasing Event Tickets provided by Ticketmaster SG (“Ticketmaster SG Platform”);

2.3.2 immediately prior to completing the Transaction on the Ticketmaster SG Platform at the point of purchase, input one of the following customised promotion codes:

(a) “CHERYL10”;

(b) “JIA10”; or

(c) “NJL10”.; and

2.3.3 enter the customised promotional code and complete the relevant Transaction before the Promo expires. The Promo shall commence on 17/04/2024 and shall expire on 05/05/2024 at 2359hrs, or event close, (the “Promo Period”). In order to avail of the Promo, the Participants must complete the Transaction during the Promo Period. For the avoidance of any doubt, all customised promotion codes shall expire upon the expiry of the Promo Period and shall not be redeemable or honoured in any way after such date. If any customised promotion codes are obtained or used after the Promo Period, such customised promotion codes shall not be valid and or redeemable and shall be void.

2.4 Participants that purchase Event Ticket(s) using one of the customised promotion codes in accordance with paragraph 2.3 will be granted a ten per cent. (10%) discount on the price of the Event Ticket(s) purchased by the Participant (exclusive of any goods and services tax and any other such taxes or service fees applicable to the Event Tickets) (the “Discount”). The final price payable will be displayed and applied at the “Checkout” page of the Ticketmaster SG Platform prior to payment.

2.5 For the avoidance of doubt, this Promo shall apply only to the purchase of “General Admission” Event Tickets” and “Reserved” Event Tickets in relation to the Event. The Promo shall not apply or be open to any other category of Event Tickets (or any tickets for any other event or ancillary events to the Event), including but not limited to “Next Level Experience” tickets.

2.6 For the avoidance of doubt and in furtherance to paragraphs 2.3 and 2.4, a customised promotional code can be used for and applied to the purchase of more than one Event Ticket within the same Transaction.

3. RULES OF THE PROMO

3.1 After the purchase has been completed, the Event Ticket(s) shall be sent to the Participant by way of email or such other mechanism as outlined on the Ticketmaster SG Platform or in the EVENT TICKETING TERMS & CONDITIONS | HSBC SVNS.

3.2 Any decision made by WRT on any matter regarding the Promo is final, conclusive and binding, and no enquiries or appeals, whether verbal or written, shall be entertained.

3.3 It shall be strictly one customised promotional code per Transaction. Any attempt to use or use of more than one customised promotional code per Transaction shall be null, void and invalid.

3.4 All Participants shall accept and abide by all decisions made by WRT concerning the T&Cs and any other matters relating to the Promo.

3.5 All customised promotional codes are provided and acquired for free, meaning that there is no purchase or exchange of money required to avail of the Promo (however, a Participant will need to purchase an Event Ticket). As such, all customised promotional codes are non-exchangeable, non-transferable and non-refundable and no cash alternative will be made available or offered in whole or in part to any Participants under any circumstances in relation to the Promo or use of the customised promotional codes.

3.6 Event Tickets are not transferable or exchangeable or refundable and shall not be exchanged for cash and no cash alternative shall be made available or offered in whole or in part to a Participants under any circumstances. WRT accepts no responsibility for any tax or other liability that may arise from your participation in the Promo or use of the customised promotional codes.

3.7 Participation in the Promo, use of the customised promotional codes and availing of the Discount shall at all times be subject to availability of Event Tickets and WRT shall have no liability to any Participant who is unable to use or avail of the Promo for any reason, including as a result of the unavailability of Event Tickets.

3.8 The publishing of the Promo and the customised promotion codes does not constitute a legally binding offer to you or to anyone. When you seek to avail of the Promo and wish to utilise the customised promotion code, you will be submitting an offer to purchase an Event Ticket via the application of the customised promotional codes. However, the purchase of the Event Ticket together with the application of the Discount is not complete until you receive an email confirming that your offer has been accepted and that you have purchased the Event Ticket(s).

3.9 WRT shall not be liable nor responsible for any loss suffered if your customised promotional code is not accepted or you are unable to avail of the Discount. World Rugby reserves the absolute right and discretion at all times to reject an offer made by an individual. Further, any offer that has been accepted by WRT can also be cancelled at any time if WRT has reason to believe that an individual has committed fraud or has not complied with these T&Cs.

3.10 You agree that you shall only use the Promo, including the customised promotional codes, for personal reasons and that you shall not seek to commercialise, including selling, reproducing or trading a customised promotion code or any Event Tickets bought with the application of a Discount, in any way or form. A customised promotional code and Event Ticket must not be sold or resold by you (or on your behalf) in any circumstances.

3.11 The customised promotional codes cannot be used with or in conjunction with any other promotional codes or promotions, in relation to the Event or in relation to any other event.

4. NON-COMPLIANCE

4.1 If a Participant’s conduct is in breach of or is not compliant with any of the clauses of the T&Cs, WRT hereby reserves the right to:

4.1.1 disqualify the entry or participation of the Participant in the Promo; and/or

4.1.2 forfeit, reclaim and/or withhold the provision of any Event Ticket(s) purchased by that Participant.

5. TERMINATION OF THE PROMO

5.1 WRT shall have the right to, at its sole and absolute discretion and at any time and for any reason without giving prior notice to or seeking prior consent from the Participants or general public or any other third party, suspend, terminate and/or cancel the Promo without liability, compensation or penalty to any Participants.

5.2 For the avoidance of any doubt, even if you are still able to locate a customised promotional code, via social media, digital platforms or otherwise, after the Promo has been terminated or the Promo Period has expired, you shall not be able to avail of the Promo or use the customised promotional code or avail of the Discount.

6. VARIATION

6.1 WRT reserves the absolute right to unilaterally amend and vary these T&Cs at any time. All amendments to these T&Cs will be posted on-line and the date of the most recent update shall be displayed. For the avoidance of doubt, you will remain bound only by the version of these T&Cs in place at the time at which you avail of the Promo using the customised promotion codes via the Ticketmaster SG Platform.

7. LIABILITY

7.1 Nothing in these T&Cs shall operate to limit or exclude WRT’s liability to you for death or personal injury caused by its negligence, fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

7.2 WRT shall not have any liability to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any indirect or consequential loss (including loss of time, savings or profits) arising under or in connection with these T&Cs or the Promo.

7.3 Subject to clause 7.1 and 7.2, WRT’s total aggregate liability to you, whether in contract, tort (including negligence) or otherwise, arising out of or in connection with the Promo or these T&Cs (including any amendments, additions, replacements, variations and/or modifications), shall under no circumstances exceed GBP£50.

7.4 All warranties, conditions and representations under this Promo or in relation to any customised promotional codes are excluded except to the minimum extent required by applicable law.

7.5 You acknowledge that the platform via which the Promo can be availed of is managed and administered and operated solely by Ticketmaster SG. As such, your interactions with Ticketmaster SG is at your own risk, and you agree that, to the extent permitted by law, WRT shall have no liability with respect to the acts, omissions, errors, representations, warranties, breaches or negligence of Ticketmaster SG and/or any such third party for any loss or damage howsoever arising in relation to your participation in the Promo and/or entry of the customised promotion codes into the Ticketmaster SG Platform.

7.6 WRT accepts no responsibility or liability for any failed purchase of Event Tickets or application of the Discount as a result of any delay, misdirection, technical difficulty, incompletion, system or infrastructure failure, or any other reason resulting in the failure of any Participant or individual to enter into the Promo. WRT shall have no responsibility or liability for any damages or delays suffered by a Participant participating in the Promo or seeking to use the customised promotional code or avail of the Discount as a result of any network, internet or computer hardware or software failure of any kind or technical or policy issues arising from any social media platform as a result of third party rights breach or a breach of the rules of any social media platforms.

8. DATA COLLECTION AND PRIVACY

8.1 You acknowledge and agree that by availing of the Promo or submitting a customised promotion code via the Ticketmaster SG Platform, you shall not be required to provide any additional personal information and that any personal information provided by you shall be as required or provided in relation to the purchase of the Event Tickets and as such, your personal information shall be processed in accordance with HSBC SVNS SERIES SINGAPORE 2024 EVENT TICKET TERMS AND CONDITIONS and/or any options you might select within the Ticketmaster SG Platform (as applicable). You are encouraged to carefully read and review the Event Ticket Terms and Conditions and any Ticketmaster SG Platform terms and conditions prior to purchasing an Event Ticket.

9. MEDIA PUBLICITY

All Participants shall not speak to the press or any other media or give any interviews or comments relating to the Promo without the prior written approval of WRT.

10. THIRD PARTY RIGHTS

The Contracts (Rights of Third Parties) Act 2001 (“CRTPA 2001”) (Singapore) and the Contracts (Rights of Third Parties) Act 1999 (UK) (“CRTPA 1999”) shall not, under any circumstances, apply to the T&Cs and any person who is not a party to the T&Cs (whether or not such person shall be named, referred to, or otherwise identified, or shall form part of a class of persons so named, referred to, or identified, in the T&Cs) shall have no right whatsoever under the CRTPA 2001 or CRTPA 1999 to enforce the T&Cs or any of its terms.

11. GOVERNING LAW AND DISPUTE RESOLUTION

The T&Cs shall be governed by, and construed in accordance with, the laws of England and each Participant irrevocably submits to the exclusive jurisdiction of the courts

of England to settle any dispute or claim arising out of or in connection with this Agreement or its subject matter or formation (including non-contractual disputes or claims).

12. INTELLECTUAL PROPERTY

12.1 All rights, including copyright and database rights, in the Promo and its contents, are owned by or licensed to World Rugby or otherwise used by WRT as permitted by applicable law. Furthermore, all rights in the Event names, main trophies, company names, trade names, logos, product packaging and designs of World Rugby (including in relation to the HSBC SVNS Series or the Event), or official sponsors, licensees, suppliers, or other third-party products or services, belong exclusively to World Rugby or such third-party, as applicable, or their respective owners, and are protected from reproduction, imitation, dilution or confusing or misleading uses under national and international laws, as applicable.

12.2 Your use or misuse of these trade marks or any materials, except as permitted herein and including without limitation use as a domain name or as part of a domain name, is expressly prohibited and nothing stated or implied on this site or in these T&Cs or via your participation in the Promo confers on you any licence or right under any patent, copyright work, trade mark, design or other right of a similar nature of World Rugby or any third party.

12.3 Nothing stated or implied in this site or in these T&CS is designed to grant any licence or right under any copyright or other intellectual property rights of World Rugby or any third party or any right to use any names, logos, pictures, trade marks or other works or content featured on the site or these T&Cs or in the Promo. No act of downloading or otherwise copying or reproducing from the site will transfer title to you to any software or material on the site, unless express statements are communicated to you by WRT to the contrary.

13. GENERAL

13.1 These T&Cs do not limit or exclude any non-excludable rights the Participant might have under any applicable law.

13.2 In the event of any conflict or inconsistency between these T&Cs and a term in any other document related to the Promo, these T&Cs shall take precedence.

13.3 In the event that any provision of these T&Cs shall be determined to be partially void or unenforceable by any court or body of competent jurisdiction or by virtue of any legislation to which it is subject or by virtue of any other reason whatsoever, it shall be void or unenforceable to that extent only and no further and the validity and enforceability of any of the other provisions of these T&Cs shall not be affected or impacted.
